These Terms & Conditions (“Terms”) govern access to and use of AmericanResearchCompany.com and all purchases of products or services from American Research Company (“American Research Company,” “ARC,” “we,” “our,” or “us”).
Please read these Terms carefully before accessing the website or placing an order.
By accessing our website, creating an account, submitting an order, purchasing a product, or checking the box indicating acceptance of these Terms, you acknowledge that you have read, understood, and agree to be legally bound by these Terms.
If you do not agree to these Terms, do not purchase or use our products or services.
Purchaser Eligibility
Purchasers must be at least 21 years of age.
ARC supplies products to researchers, laboratories, businesses, institutions, and other purchasers acquiring materials for legitimate and lawful research, laboratory, analytical, or educational purposes.
By placing an order, you represent and warrant that:
- You are at least 21 years old;
- You have legal capacity to enter into this agreement;
- All information you provide is truthful and accurate;
- You are legally permitted to purchase and possess the products ordered;
- You are purchasing the products solely for a lawful purpose;
- You understand the nature and potential hazards associated with research compounds;
- You have appropriate knowledge, facilities, procedures, equipment, training, or qualified supervision for handling the materials;
- You will comply with all applicable laws and regulations; and
- You have reviewed and accepted all applicable product warnings and restrictions.
ARC reserves the right to request additional information, refuse service, restrict purchasing privileges, or cancel an order where we reasonably believe these requirements have not been satisfied.

ARC does not provide human or veterinary dosing recommendations, treatment protocols, administration instructions, therapeutic recommendations, diagnoses, or medical advice.
No information supplied by ARC should be interpreted as an instruction, recommendation, endorsement, or authorization for human or veterinary use.
Purchaser Responsibility
The purchaser is independently responsible for determining whether a product is appropriate for the purchaser’s intended lawful research.
Research compounds may possess known and unknown characteristics, hazards, and risks.
The purchaser accepts responsibility for appropriate laboratory handling, storage, security, protective equipment, hazard assessment, testing, research methodology, documentation, transportation, regulatory compliance, and disposal.
The purchaser must exercise independent professional and scientific judgment and conduct whatever additional testing or verification is appropriate for the purchaser’s research.
Compliance With Law
The purchaser is solely responsible for determining whether purchasing, possessing, importing, exporting, receiving, transporting, storing, testing, researching, transferring, or disposing of a particular product is lawful in the purchaser’s jurisdiction.
Laws and regulations vary between jurisdictions and may change.
The availability of a product on our website or the technical ability to complete checkout does not constitute a representation by ARC that the product is lawful in every jurisdiction.
Purchasers agree to comply with all applicable federal, state, local, provincial, national, and international laws and regulations.
ARC may refuse, restrict, hold, or cancel any transaction based on legal, regulatory, compliance, safety, fraud, payment, shipping, or risk considerations.
Product Testing & Quality Assurance
ARC takes extensive precautions intended to support the identity, purity, consistency, handling, storage, and quality of the research compounds we supply.
Where ARC represents a particular compound as meeting a purity specification of 99% or greater, that representation is based on the applicable analytical information available for that product or tested batch.
ARC utilizes independent third-party analytical testing where applicable and may make relevant Certificates of Analysis or other testing information available for research verification.
Analytical testing represents the characteristics of the sample tested under the conditions existing at the time of analysis. No analytical test can eliminate every possibility of variation, degradation, contamination, handling-related changes, storage-related changes, sampling differences, or other circumstances affecting a material.
Researchers remain responsible for performing whatever independent verification and testing they determine appropriate for their particular research.
A purity result, Certificate of Analysis, analytical report, or other laboratory result relates solely to research specifications and must not be interpreted as evidence that a compound is safe, sterile, pharmaceutical-grade, approved, or suitable for human or veterinary administration.
Product Information
ARC makes reasonable efforts to provide accurate product descriptions, specifications, analytical information, photographs, pricing, availability, and other website information.
However, scientific information and product information may evolve or contain inadvertent errors.
ARC reserves the right to correct typographical errors, inaccuracies, omissions, pricing errors, or outdated information.
Researchers are responsible for independently verifying information material to their research.
Orders
Submission of an order does not guarantee acceptance.
ARC reserves the right, subject to applicable law, to refuse, hold, limit, or cancel orders for suspected fraud, unauthorized payment activity, suspected prohibited use, regulatory or legal concerns, shipping restrictions, inventory errors, pricing errors, incorrect customer information, unusual purchasing activity, violation of these Terms, or other legitimate business, compliance, or safety concerns.
If ARC cancels an order before fulfillment after collecting payment, the applicable payment will be refunded as required.
Pricing and Payment
Prices are displayed in the currency indicated during checkout and may change without notice.
Customers authorize ARC and its payment processors to charge the payment method submitted for the total amount shown at checkout, including applicable shipping, taxes, and other disclosed charges.
Customers represent that they are authorized to use the payment method provided.
ARC may use third-party payment processors and fraud-prevention services to process or evaluate transactions.
Shipping & Delivery
Customers are responsible for providing complete and accurate shipping information.
Delivery dates and transit times are estimates unless ARC expressly states otherwise.
Once an order has entered fulfillment, modification or cancellation may not be possible.
ARC is not responsible for delays resulting from circumstances outside our reasonable control, including carrier delays, severe weather, natural disasters, customs processing, governmental action, transportation interruptions, or inaccurate information supplied by the customer, except where applicable law provides otherwise.
Customers should inspect shipments promptly upon receipt.
Any claim concerning an incorrect, materially damaged, or allegedly defective shipment must be reported promptly with appropriate supporting information.
International Orders
ARC may make international shipping available to certain destinations.
International purchasers are independently responsible for determining whether the products ordered may lawfully be purchased, imported, possessed, transported, stored, and researched within the destination jurisdiction.
International customers are responsible for applicable customs requirements, import requirements, permits, licenses, duties, taxes, brokerage fees, and other governmental charges.
Availability of international shipping does not constitute a representation that a product is lawful in the destination country.
ARC reserves the right to decline shipment to any jurisdiction.
All Sales Final
ALL SALES ARE FINAL EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS OR WHERE A REFUND OR OTHER REMEDY IS REQUIRED BY APPLICABLE LAW.
Because ARC supplies research materials and cannot independently verify a product’s handling, storage, contamination exposure, environmental exposure, temperature conditions, chain of custody, alteration, or use after delivery, ARC generally cannot accept returned research compounds.
Customers should carefully review their orders before completing checkout.
No Physical Returns
ARC DOES NOT ACCEPT PHYSICAL RETURNS OF RESEARCH COMPOUNDS.
This policy exists in part to preserve chain-of-custody and quality-control standards and because ARC cannot resell or redistribute materials once they have left our controlled supply chain.
Customers should not mail products back to ARC unless ARC specifically instructs otherwise in writing.
Nothing in this section eliminates return rights that applicable law does not permit us to waive.
Damaged, Incorrect, or
Materially Defective Products
ARC stands behind products that materially conform to the specifications under which they are sold.
A refund, replacement, store credit, or other appropriate remedy may be considered where the customer receives an incorrect product, a product arrives materially damaged and rendered unusable for its intended research purpose, or credible evidence demonstrates that a product supplied by ARC is materially defective or materially inconsistent with its represented specifications.
The customer must notify ARC promptly after discovering the issue and provide reasonable supporting documentation, which may include an order number, photographs, packaging photographs, lot or batch information, a description of storage and handling, analytical documentation, and other information reasonably necessary to investigate the claim.
For an alleged compound-quality or purity issue, ARC may request appropriate independent analytical evidence before reaching a determination.
ARC will evaluate legitimate claims in good faith.
If ARC determines that a qualifying problem occurred, ARC may provide an appropriate remedy, which may include replacement, store credit, or refund, subject to applicable law.
Products that have been improperly stored, contaminated, altered, mishandled, transferred into another container, improperly tested, or used contrary to these Terms ordinarily will not qualify for a remedy.
Refund Processing
Approved refunds will be issued to the original payment method where reasonably possible.
Financial institutions and payment processors may require additional processing time before a refund appears on a customer’s account.
Shipping charges and other non-product charges are non-refundable except where ARC determines otherwise or applicable law requires reimbursement.
Chargebacks & Payment Disputes
ARC takes customer concerns seriously and provides customers with a direct process for resolving legitimate order, shipping, quality, and payment issues.
BEFORE INITIATING A CHARGEBACK OR PAYMENT DISPUTE, THE CUSTOMER AGREES TO CONTACT ARC DIRECTLY AND PROVIDE ARC WITH A REASONABLE OPPORTUNITY TO INVESTIGATE AND ATTEMPT TO RESOLVE THE ISSUE.
Customers agree to communicate truthfully and provide information reasonably necessary to investigate their concerns.
ARC reserves the right to contest payment disputes and chargebacks and may provide relevant evidence to the applicable payment processor, financial institution, or card network, including order records, customer acceptance of these Terms, checkout records, payment records, shipping and tracking records, delivery confirmation, product information, refund and return policies, customer communications, fraud-prevention information, and other relevant transaction evidence.
Knowingly submitting a false, fraudulent, abusive, or materially misleading payment dispute may result in suspension or termination of purchasing privileges and pursuit of remedies available under applicable law.
Nothing in this section eliminates or restricts a chargeback, payment-network, statutory, or consumer right that cannot legally be waived.
Cancellations
Customers should contact ARC immediately if they wish to request cancellation.
Cancellation requests are not guaranteed but very simple to achieve by contacting us.
An order that has already entered the shipment process may not be cancellable.
If ARC agrees to cancel an unfulfilled order, the applicable refund will be processed in accordance with these terms.
Third-Party Laboratory Testing
ARC may utilize independent third-party laboratories to perform analytical testing.
Third-party laboratory results describe the analysis performed by that laboratory and do not constitute approval, certification, or endorsement of human or veterinary use.
No third-party laboratory should be understood as representing that an ARC product is appropriate for any use outside the scope of the analytical testing performed.
No Warranties Regarding Unauthorized Use
ARC makes no representation or warranty concerning the safety, effectiveness, suitability, or fitness of a product for any unauthorized purpose.
In particular, ARC makes no representation or warranty concerning human or veterinary administration because such use is expressly outside the intended and authorized use of ARC products.
Limitation of Liability
To the maximum extent permitted by applicable law, American Research Company and its owners, officers, directors, employees, contractors, affiliates, agents, and suppliers shall not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from or relating to a product, or the purchaser’s handling of that product, the customers storage tactics, research intentions, transfer of, or use of a product distributed by our company.
This includes, to the extent permitted by law, claims for loss of profits, revenue, business opportunity, data, goodwill, or other consequential economic loss.
To the maximum extent permitted by applicable law, ARC’s aggregate liability arising out of a particular purchase shall not exceed the amount actually paid to ARC for the product giving rise to the claim.
Unauthorized Use
The purchaser acknowledges that ARC sells its products for specifically identified research purposes and does not authorize their use in or on humans or animals.
Any purchaser or third party who deliberately uses a product contrary to ARC’s expressly stated intended use acts outside the authorized purpose for which the product was sold and is liable for any results that come from their own handling of the compound.
ARC will never authorize, recommend, endorse, encourage, or provide instructions for such conduct.
Indemnification
To the extent permitted by applicable law, the purchaser agrees to indemnify, defend, and hold harmless ARC and its owners, officers, directors, employees, affiliates, contractors, agents, and suppliers against third-party claims, liabilities, losses, damages, costs, and reasonable attorneys’ fees arising from or relating to the purchaser’s violation of these Terms, violation of applicable law, unauthorized use of a product, unauthorized human or veterinary use, negligent, reckless, or intentional misuse, unauthorized resale or redistribution, misrepresentation of a product’s intended purpose, or conduct causing a third party to assert a claim against ARC.
This provision applies only to the extent permitted by applicable law.
Resale, Relabeling & Redistribution
Purchasers may not resell, relabel, repackage, advertise, market, or distribute ARC products in a manner suggesting that they are intended or suitable for human or veterinary use.
No purchaser, reseller, distributor, affiliate, or other third party has authority to make medical, therapeutic, pharmaceutical, diagnostic, or human-safety claims on behalf of ARC.
No person may remove or conceal applicable Research Use Only warnings when transferring products to another lawful research entity.
Fraud & Abuse
ARC reserves the right to investigate suspected fraud, payment abuse, account abuse, unauthorized transactions, manipulation of promotional programs, false claims, or other misuse of our services.
ARC may restrict or terminate purchasing privileges associated with fraudulent or abusive activity.
Where appropriate, ARC may preserve and provide relevant records to payment processors, financial institutions, carriers, insurers, regulators, or law enforcement as permitted or required by law.
Accounts & Account Security
Customers who create accounts are responsible for maintaining the confidentiality and security of their login credentials.
Customers should promptly notify ARC if they reasonably believe their account has been accessed without authorization.
Customers are responsible for ensuring that information maintained in their account remains accurate before placing orders.
Third-Party Services
ARC may rely upon third-party payment processors, shipping carriers, hosting providers, analytics services, fraud-prevention providers, and other service providers.
ARC is not responsible for independent third-party acts or omissions except to the extent responsibility cannot lawfully be excluded.
Use of certain third-party services may also be subject to the applicable third party’s terms.
Intellectual Property
Unless otherwise indicated, original website content, branding, logos, designs, graphics, photographs, written materials, product presentation, and other intellectual property appearing on the ARC website are owned by or licensed to ARC.
Purchasing a product does not transfer ownership of ARC’s intellectual property.
Unauthorized reproduction, distribution, commercial exploitation, or use of ARC intellectual property is prohibited except as permitted by applicable law.
Privacy
Information collected through our website is handled in accordance with our Privacy Policy and applicable law.
Our Privacy Policy is incorporated into these Terms by reference where applicable.
Right to Refuse Service
To the extent permitted by applicable law, ARC reserves the right to refuse, restrict, suspend, or terminate service or purchasing privileges where we reasonably believe a purchaser does not satisfy eligibility requirements, a product may be intended for prohibited use, a transaction presents a fraud or payment risk, a transaction may violate applicable law, information supplied by a purchaser is materially false or misleading, a purchaser has engaged in abusive or fraudulent conduct, or fulfilling the transaction would create an unacceptable legal, regulatory, compliance, or safety risk.
Governing Law
These Terms and transactions with ARC shall be governed by the laws of the State of Ohio, without regard to conflict-of-law principles, except where applicable federal law or another law that cannot contractually be displaced applies.
Severability
If any provision of these Terms is determined to be invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permitted by law.
The remaining provisions shall continue in full force and effect.
Assignment
Purchasers may not assign or transfer their rights or obligations under these Terms without ARC’s prior written consent where such restriction is permitted by law.
ARC may assign its rights and obligations in connection with a merger, acquisition, restructuring, sale of assets, or other legitimate business transaction, subject to applicable law.
Entire Agreement
These Terms, together with the Privacy Policy, Refund Policy, Shipping Policy, Research Use Only notices, and other policies expressly incorporated by reference, constitute the applicable agreement between ARC and the purchaser concerning transactions through the website.
Changes to These Terms
ARC may modify these Terms from time to time to reflect changes in our operations, policies, products, services, or legal requirements.
The “Last Updated” date identifies the most recent revision.
For a particular purchase, the version of the Terms presented and applicable when the order is placed will generally govern that transaction, except where applicable law requires otherwise.
Electronic Acceptance
Checking an acceptance box, submitting an order, creating an account where acceptance is required, or otherwise electronically agreeing to these Terms constitutes electronic acceptance to the extent permitted by applicable law.
Customers are encouraged to retain a copy of the Terms applicable to their transaction.
Purchaser Acknowledgment
By completing a purchase from American Research Company, the purchaser represents and acknowledges that:
The purchaser is at least 21 years of age.
The purchaser has read and agrees to these Terms & Conditions.
The purchaser is acquiring the products for a lawful research, laboratory, analytical, or educational purpose.
The purchaser understands and accepts ARC’s Research Use Only restrictions.
The purchaser understands that ARC does not authorize human or veterinary use or consumption of its research products.
The purchaser accepts responsibility for complying with applicable laws and for appropriate handling, storage, testing, research, security, and disposal of the products purchased.
Product Integrity After Delivery &
Customer Handling and Contamination
ARC’s responsibility for the condition of a product is limited to defects, nonconformities, damage, or material deviations from represented specifications that are attributable to ARC and that existed at the time the product was delivered to the customer, subject to applicable law.
Once a product has been delivered, its condition may be affected by circumstances outside ARC’s possession, custody, or control. These circumstances may include, without limitation, improper storage, exposure to excessive heat, freezing temperatures, moisture, light, air, microorganisms, environmental contaminants, unsuitable containers, cross-contamination, improper sanitation, incorrect laboratory procedures, improper transportation after delivery, repeated temperature cycling, failure to follow applicable storage instructions, or other post-delivery handling.
ARC is not responsible for deterioration, contamination, alteration, loss of purity, loss of integrity, analytical variation, or other changes caused or reasonably attributable to circumstances occurring after delivery and outside ARC’s reasonable control.
Mixing, Reconstitution, Dilution, Transfer, or Modification
A research product that has been opened, reconstituted, diluted, dissolved, mixed, combined with another substance, transferred from its original container, aliquoted, modified, manipulated, or otherwise materially handled by the customer or a third party may become subject to variables that ARC cannot independently verify or control.
Such variables include, without limitation, the identity, purity, sterility, composition, pH, quality, concentration, or suitability of solvents, diluents, buffers, reagents, laboratory water, bacteriostatic solutions, containers, syringes, instruments, laboratory equipment, or other materials introduced by the customer.
ARC therefore does not warrant the condition, stability, purity, concentration, analytical performance, or continued conformity of a product after it has been mixed, reconstituted, diluted, transferred, modified, contaminated, improperly stored, or otherwise materially handled following delivery.
A claim ordinarily will not qualify for a refund, replacement, or store credit where ARC reasonably determines, based upon available evidence, that the alleged problem was caused or materially contributed to by customer handling, customer-supplied materials, contamination, storage conditions, laboratory methodology, equipment, environmental exposure, transfer, modification, or another circumstance occurring after delivery.
This provision does not eliminate any right or remedy that applicable law does not permit ARC to exclude.
Preservation of Product and Evidence
Customers asserting a product-quality, purity, identity, damage, or nonconformity claim must take reasonable steps to preserve relevant evidence.
ARC may require, where reasonably appropriate:
- the applicable order number;
- photographs of the product as received;
- photographs of exterior and interior packaging;
- photographs of labels, seals, closures, and containers;
- lot, batch, or identifying information;
- delivery and tracking information;
- the date and approximate time the package was received and opened;
- information concerning storage conditions after delivery;
- information concerning temperature exposure;
- information identifying any solvent, reagent, diluent, buffer, laboratory water, bacteriostatic solution, container, or other substance used with the product;
- information concerning laboratory equipment and methodology;
- photographs or records concerning the preparation or testing procedure;
- applicable analytical reports and underlying testing information; and
- other information reasonably necessary to determine whether the claimed condition existed at delivery or arose afterward.
Failure to preserve reasonably available evidence or provide information reasonably necessary to investigate a claim may prevent ARC from determining whether the product was defective when supplied and may result in denial of the requested voluntary remedy, subject to applicable law.
Independent Analytical Claims
A customer alleging that a product does not materially conform to an ARC identity or purity specification may be required to provide independent analytical evidence from a qualified third-party laboratory using an appropriate and scientifically recognized analytical method.
ARC may reasonably request information necessary to evaluate the reliability and relevance of such testing, including the laboratory name, analytical method, sample-preparation methodology, chromatograms, spectra, raw or underlying analytical data where available, reference standards, instrument information, test date, sample identification, chain-of-custody information, and the remaining quantity and condition of the tested material.
Analytical results obtained after a customer has opened, transferred, reconstituted, diluted, mixed, modified, improperly stored, contaminated, or otherwise materially handled a product will be evaluated in light of those circumstances.
ARC may also consider testing performed on retained samples, applicable batch documentation, third-party Certificates of Analysis, shipping records, photographs, customer handling information, and other reasonably relevant evidence when investigating a claim.
No single analytical result automatically establishes that a product was defective when delivered. ARC will evaluate the totality of reasonably available evidence in good faith.
Claim Determinations
ARC will review legitimate product claims in good faith based upon the reasonably available evidence.
The existence of a customer complaint, unexpected research result, failed experiment, analytical discrepancy, precipitation, discoloration, solubility issue, appearance change, or other unexpected laboratory observation does not by itself establish that a product was defective, contaminated, mislabeled, damaged, or nonconforming when supplied by ARC.
Research results may be affected by numerous variables outside ARC’s control, including methodology, instrumentation, reagents, sample preparation, laboratory conditions, operator error, storage conditions, contamination, and interaction with other materials.
ARC may deny a voluntary refund, replacement, or store-credit request when the available evidence reasonably demonstrates that:
- the product materially conformed to the specifications under which it was sold when supplied;
- the reported condition is not reproducible or is unsupported by reasonably reliable evidence;
- the alleged issue arose after delivery;
- customer handling, storage, preparation, contamination, transfer, modification, testing methodology, or third-party materials caused or materially contributed to the alleged issue;
- the customer failed to provide reasonably requested information necessary to investigate the claim;
- the product has been substantially consumed, altered, transferred, mixed, or otherwise placed in a condition preventing meaningful investigation;
- the claim concerns an unauthorized use prohibited by these Terms; or
- the claim is otherwise excluded under these Terms or applicable law.
Nothing in this section authorizes ARC to deny a statutory or other legal right that cannot lawfully be waived.
Research Results Not Guaranteed
ARC supplies research materials to identified specifications but does not guarantee any particular experimental, analytical, chemical, biological, laboratory, commercial, or research outcome.
A customer’s inability to reproduce a particular published result, obtain an expected experimental response, achieve a desired solubility, obtain a particular laboratory observation, or achieve another intended research result does not, standing alone, demonstrate that an ARC product is defective or nonconforming.
The purchaser remains responsible for validating experimental methods, equipment, reagents, controls, reference standards, sample-preparation procedures, and other variables relevant to the purchaser’s research.
Chargebacks and Payment Disputes
Where a customer initiates a payment dispute concerning an ARC transaction, ARC reserves the right to contest the dispute and provide relevant evidence demonstrating the validity of the transaction and fulfillment of the order.
Depending upon the nature of the dispute, such evidence may include the customer’s order information, acceptance of these Terms, Research Use Only acknowledgments, payment authorization records, fraud-screening information, IP or device information where lawfully collected, shipping records, tracking information, delivery confirmation, product photographs, batch or lot records, Certificates of Analysis, analytical records, customer-service communications, customer photographs, claim-investigation records, and information supplied by the customer concerning storage, handling, testing, modification, contamination, or use of the product.
ARC’s denial of a voluntary refund, replacement, or store credit does not prevent a customer from exercising a payment-dispute right available under applicable law or card-network rules, and initiation of such a dispute does not require ARC to concede that the customer’s claim is valid.
ARC may vigorously contest a dispute where its records reasonably demonstrate that the transaction was authorized, the correct product was supplied, the order was delivered as represented, or the alleged product condition was caused or materially contributed to by circumstances occurring after delivery.
Customers must not knowingly make false or materially misleading statements to ARC, a payment processor, financial institution, card issuer, card network, carrier, laboratory, regulator, or other third party concerning a transaction or product claim.
